Generelle vilkår og betingelser hos Canyon Bicycles GmbH
(1) Disse generelle forretningsbetingelsen gjelder for alle tilbud, kjøpekontrakter, leveringer og tjenester som er grunnlaget for bestillinger fra våre kunder gjennom vår nettbutikk www.canyon.com, (heretter “nettbutikk”), inkludert bestillinger per telefon, e-post, fax eller brevpost. Videre gjelder disse generelle forretningsbetingelsene også for salg i vårt utstillingslokale, såfremt de følgende bestemmelsene ikke er rettet spesifikt mot fjernsalg.
(2) Produktutvalget i vår nettbutikk er rettet mot både forbrukere og næringsdrivende, dog bare til sluttbrukere. I disse generelle forretningsbetingelsene (i) forstås “forbruker” som enhver fysisk person som inngår en kontrakt til et formål som verken kan tilskrives deres kommersielle eller selvstendige næringsvirksomhet (§ 13 sivilrettsloven – BGB), og (ii) en “næringsdrivende” er en fysisk eller juridisk person eller et juridisk partnerskap der kontraktinngåelsen handler om utøvelse av deres kommersielle eller selvstendige næringsvirksomhet (§ 14 punkt 1 BGB).
(3) Forretningsbetingelser for kunder anvendes ikke, selv ikke når vi er uenige om deres gyldighet i enkelttilfeller.
(1) Tilbudene våre i katalogen, nettbutikken og i utstillingslokalet vårt, er ikke bindene.
(2) En kundes bestilling i nettbutikken (som først krever registrering og aksept av disse generelle
forretningsbetingelsene) er kundens bindende tilbud om å kjøpe det aktuelle produktet. Kunden er
bundet til dette tilbudet til utløpet av de neste 5 kalenderdagene etter kjøpet. Vi har rett til å akseptere tilbudet innen denne fristen.
(3) Etter mottak av tilbudet, vil vi umiddelbart sende kunden en bekreftelse på mottak av tilbudet, som ikke utgjør noen aksept av det samme. Tilbudet er akseptert av oss først når vi sender en aksept (via epost) til kunden eller vi sender varen. Kjøpekontrakten med kunden trer i kraft først med vår aksept.
(4) Enhver kunde som er forbruker, har rett til å tilbakekalle tilbudet i samsvar med den spesielle
avbestillings- og returrett som er kommunisert til kunden, sammen med bekreftelse på mottak av
tilbudet, og returnere varene.
(5) Hvis kunden ber om kundeservice, må kunden, for å unngå unødvendig lang ventetid fra
kunderådgivere, svare innen to uker etter mottak av kostnadsoverslaget om dette aksepteres eller avvises. Hvis kunden ikke svarer innen to uker, vil vi legge til en rimelig gyldighetsperiode på én uke. Hvis vi ved utløp av denne perioden fremdeles ikke har mottatt svar fra kunden, antar vi at kunden avviser tilbudet vårt og vi vil i dette tilfellet returnere produktet på kundens bekostning. Vi vil med det nok en gang informere kunden om vår utvidede tidsfrist.
(1) Våre priser inkluderer lovbestemt m.v.a. men er eksklusive transportkostnader. Priser i land utenfor EU ( f.eks. Norge, Australia og New Zealand ) inkluderer ikke m.v.a. Tollavgifter og lignende offentlige kostnader betales av kunden.
(2) Med mindre uttrykkelig avtalt, leverer vi bare mot betaling på forhånd (som angitt i
bestillingsskjemaet), mot regning (som blir sendt per e-post og også kan inngå i vår aksept) og mot oppkrav. På forespørsel fra kunden, som angitt i bestillingsskjemaet, kan vi også levere varene mot betaling av fakturabeløpet ved våre forretningskontorer i Karl-Tesche-gaten 12, D-56073 Koblenz.
(3) Kunden har ingen rett på kompensasjon eller tilbakebetaling med mindre motkravet er ubestridt eller rett skra ftig.
(1) Vi vil sende varen til kunden senest på fraktdatoen som angitt på den respektive tilbudssiden (dato for levering av varen fra oss til fraktselskapet), for hvilket dette gjelder omtrentlig og kan overskrides med et par virkedager. Hvis ingen dato er spesifisert, blir varer betegnet som “HYLLEVARE” sendt senest innen fem virkedager (avhengig av avsnitt 2 om utsolgt vare) og alle andre varer innen tre uker. Fristen for leveranseperioden avgjøres av datoen for mottak av hele kjøpsprisen (inkludert merverdiavgift og fraktomkostninger).
(2) Hvis varen ved levering av tilbudet finnes i nettbutikken som “HYLLEVARE”, vil vi holde varen på lager i fem virkedager etter levering av tilbudet; hvis vi ikke mottar betalingen innenfor dette tidsrommet, er vi berettiget til å selge varen. I dette tilfellet skjer levering innen den nevnte fristen bare så lenge lageret rekker. Ellers gjelder en frist på tre uker fra mottak av betaling som avtalt.
(3) I det tilfelle at vårt produkt fra leverandør, som ved bestillingen på tilbudssiden i nettbutikken ikke var betegnet som “HYLLEVARE”, eller som var utsolgt i henhold til punkt 2, ikke leveres til oss til rett tid, forlenges fristen for levering fra vår leverandør etter punkt 1 og 2 med to virkedager, men ikke for et lengre tidsrom enn tre uker. En forutsetning for denne forlengelsen av tidsfristen er at vi etterbestilte varen umiddelbart og at vi ikke er ansvarlige for forsinkelser hos våre leverandører.
(4) Hvis varen ikke er tilgjengelig eller sendes til rett tid på basis av én av de nevnte årsakene i avsnitt 3, vil vi umiddelbart informere kunden. I dette tilfellet vil vi inngå en særskilt avtale med kunden vedrørende leveringsfrist. Hvis varen ikke er tilgjengelig fra våre leverandører innen overskuelig fremtid, er vi berettiget til å trekke oss fra kjøpekontrakten. Ved kansellering vil vi umiddelbart refundere kunden betalinger som vi har mottatt. Kundens juridiske rettigheter som følge av forsinket levering påvirkes ikke av ovennevnte bestemmelse, da kunden kan kreve erstatning bare etter særskilte bestemmelser i punkt 8 i disse generelle forretningsbetingelsene. I det tilfelle at varen ikke er permanent tilgjengelig, vil vi avstå fra en erklæring om aksept. En kontrakt vil i dette tilfellet ikke bli opprettet.
(5) Hvis vi ikke skulle overholde en leveringsfrist, kan kunden sette en rimelig tidsfrist som ikke må overskride én uke.
(6) Vi har rett til å sende del-leveranser av separat anvendelige produkter av en total-leveranse, for hvilke vi dekker de ytterligere fraktkostnadene.
(7) Hvis en avhentingsfrist er avtalt og kunden ikke overholder denne, vil vi gi kunden en ytterligere tidsfrist på én uke og forbeholder oss retten til å trekke oss fra kontrakten etter utløpet av denne fristen. Vi vil med det nok en gang informere kunden om vår utvidede tidsfrist.
(1) Canyon sykler er ferdig montert og justert av kvalifiserte teknikere på fabrikken. Før transporteringen blir enkelte komponenter demontert av sikkerhetsmessige grunner (hjul, setestolpe, pedaler, styre). Følgelig må forbrukeren montere sykkelen etter mottak av pakken, ved hjelp av den medfølgende informasjonen (i papirform og video på nettstedet), verktøy og, om nødvendig, ved telefonisk kontakt til Canyon Servicesenter.
(2) Med mindre annet er avtalt, vil vi avgjøre leveransemetode og frakt-selskap etter vårt rimelige skjønn. Hvis kunden er en forbruker, bærer vi fraktrisikoen.
(3) Ansvar for betimelig, riktig levering ligger hos fraktselskapet og vi er ikke ansvarlige for forsinkelser som skyldes transportselskapet. Leveringstiden som er nevnt i nettbutikken, er derfor ikke bindende.
(4) Hvis kunden er en forbruker, tar denne over ansvar for utilsiktet ødeleggelse, utilsiktet skade eller tap av den leverte varen, fra det tidspunkt varen leveres til kunden eller kunden misligholder aksept. I alle andre tilfeller har fraktselskapet ansvar for levering av varen til kunden.
(5) Fraktkostnadene dekkes av kjøperen. Disse inkluderer kostnader til en transportforsikring tegnet av oss, mot vanlig transportrisiko. De tilsvarende utgifter angis i bestillingsskjemaet.
(6) I tilfelle kansellering skal kunden bære kostnadene ved returnering av varen dersom den leverte varen tilsvarer bestillingen og når prisen på tilbakesending ikke overstiger EUR 40,00 eller når kunden ikke har betalt et høyere beløp eller en avtalt del-betaling av varen på tidspunktet for returnering.
(1) Vi forbeholder oss eiendomsretten til den aktuelle vare levert av oss før hele kjøpesummen er betalt (inkludert merverdiavgift og transportkostnader).
(1) Hvis den leverte varen har en materialfeil, kan kunden kreve at vi eliminerer feilen eller leverer en feilfri vare.
(2) Vi kan avslå kjøperens valgte form for rektifisering hvis denne ikke er mulig uten uforholdsmessig høye kostnader.
(3) Hvis rektifiseringen i samsvar med punkt 7 ikke fungerer eller kundens krav er urimelig eller vi avslår rektifiseringen, er kunden berettiget til, i samsvar med gjeldende lov, å trekke seg fra kontrakten, redusere kjøpesummen eller kreve erstatning eller refusjon for sine fåfengte kostnader. For eventuelle erstatningskrav fra kunden gjelder de særskilte bestemmelsene i punkt 8 i de generelle forretningsbetingelsene.
(4) Den lovfestede garantiperioden er på to år fra levering, og ett år for brukte varer som er testet i henhold til produsenten eller vedlikeholdt og igjen igangsatt, når kunden er en forbruker.
(5) Utover den lovfestede garantiperioden innvilger vi frivillig våre kunder en garanti på 6 år for modell fra 2008 fra kjøpedato (5 år for tidligere modeller) for Canyon rammer, Canyon gafler for konkurranseog triatlon-maskiner, samt terrengsykkelrammer, henholdsvis med unntak av lagre og støtdempere samt skader på lakkering/anodisering.
(6) Uten begrensning av kundens lovfestede garantirettigheter gjelder følgende tilleggsvilkår for vår
frivillige garanti:
(i) Garantien dekker ikke skader som skyldes feil eller ikke-tiltenkt bruk i henhold til bruksområdene
vist på vår nettside for det aktuelle produktet, som f.eks.
(1) Vårt ansvar for uaktsomhet (unntatt grov uaktsomhet) i tilfelle av forsinket levering, er begrenset til en sum på (10) % av den aktuelle kjøpesummen (inkludert merverdiavgift).
(2) Vi er ikke ansvarlige (gjelder uansett rettslig årsak) for skader som er typiske for den aktuelle kontrakt og vare, og som kan forventes ved normal bruk av varen. Begrensningene nevnt ovenfor gjelder, ikke i tilfelle av forsett eller grov uaktsomhet.
(3) Kundens krav om erstatning for skader på grunn av åpenbare feil på den leverte varen utelukkes hvis kunden ikke demonstrerer feilen innen en frist på to uker etter levering av varen.
(4) Begrensningene i punkt 8 gjelder ikke for vårt ansvar for garanterte karakteristikker og funksjoner iht. § 444 BGB, enten for skade på liv, kropp og helse eller etter produktansvarsloven.
(1) Vi kan behandle og lagre data som gjelder de respektive kjøpsavtaler, i den grad de er nødvendige for gjennomføring og oppgjør av kjøpekontrakten, og så lenge vi er forpliktet ved lov til å lagre disse dataene.
(2) Vi gir ikke personlige kundeopplysninger videre til tredjeparter uten kundens uttrykkelige samtykke, unntatt i den grad vi er rettslig forpliktet til å utstede slike opplysninger.
(3) Innhenting, overføring eller annen behandling av kundens personopplysninger for andre formål enn de som er nevnt i punkt 9, er ikke tillatt.
(1) Den eksisterende kjøpsavtalen mellom oss og kunden er underlagt obligatoriske internasjonale,
